The Company is not registered with the Securities and Exchange Board of India (SEBI) in any capacity, including as a Research Analyst, Investment Adviser, or Portfolio Manager. The Company is not a member of any stock exchange in India and is not enlisted with any Research Analyst Administration and Supervisory Body (RAASB).

The Company's research services relate exclusively to securities listed on stock exchanges outside India (presently, securities listed on U.S. exchanges). These services are not offered under, and are not regulated by, the SEBI (Research Analysts) Regulations, 2014 or any other SEBI regulation. Clients should not assume that any SEBI investor-protection framework (including SEBI SCORES or the Smart ODR platform) is available in respect of these services.

The purpose of this document is to provide essential information about the Research Services in a manner that assists and enables the prospective client/client in making an informed decision before subscribing.

History, Present Business and Background

EquiVision Consulting Private Limited was incorporated on September 27, 2023. The Company is engaged in providing research on U.S.-listed securities, including model portfolios (baskets of securities with indicative weightages) distributed through third-party platforms such as smallcase and Tickertape.

The focus of the Company is to provide research-based model portfolios to clients. The Company aligns its interests with those of the client and seeks to provide the best-suited services.

Disciplinary History

There are no pending material litigations or legal proceedings against the Company in relation to its research services.

No penalties or directions have been issued against the Company by any regulatory authority in relation to its research services.

Details of Associates

Nikhil Singh Gangwar, a Director of the Company, is separately registered with SEBI as a Research Analyst in his individual capacity (Registration No. INH000012801). That registration is held by him personally, covers research on securities listed in India, and does not extend to the Company or to the Company's services relating to securities listed outside India. The Company and the individual registration are operated as separate and distinct businesses.

Disclosures with respect to Research Services

The Company, its Directors and employees do not trade in the securities that are the subject matter of a model portfolio in a manner that conflicts with the interests of clients. Any personal holdings in such securities will be disclosed to clients as and when relevant.
There are no actual or potential conflicts of interest arising from any connection to or association with any issuer of products/securities, including any material information or facts that might compromise the Company's objectivity or independence. Any such conflict of interest shall be disclosed to the client as and when it arises.
The Company, its Directors and employees have not received any compensation from any company that is the subject matter of a model portfolio.
The Company, its Directors and employees have not managed or co-managed the public offering of any subject company.
The Company, its Directors and employees have not received any compensation for investment banking, merchant banking or brokerage services from any subject company.
The Company, its Directors and employees have not received any compensation or other benefits from any subject company or any third party in connection with a model portfolio.
No subject company was a client of the Company during the twelve months preceding the date of the relevant model portfolio.
The Company, its Directors and employees have not served as an officer, director or employee of any subject company.
The Company has not been engaged in market-making activity in any subject company.
The Company may receive a share of referral or brokerage-linked fees from the platform(s) on which its model portfolios are distributed. This does not affect the securities selected in any model portfolio.
